bAIsect Terms and Conditions
The terms for using baisect.com and the bAIsect early-access services. Operated by 204Labs FZE.
Last updated 6 October 2026. Pre-launch draft.
1. Who we are
baisect.com and the bAIsect service are operated by 204Labs FZE, a free zone establishment registered in SPC Free Zone, Sharjah, United Arab Emirates, registration number 443219901. Our registered office is Business Center, SPC Free Zone, Sharjah, United Arab Emirates. Contact us at connect@baisect.com.
In these Terms, “bAIsect”, “we”, “us” and “our” mean 204Labs FZE. The “Service” means this website and the early-access services described below. An “Order” is a written engagement agreement, including an agreement exchanged by email. A “Consumer” is a customer entitled to mandatory consumer protection under the law applicable to that transaction. Those rights apply regardless of the label used for a customer in an Order.
2. Early access and acceptance
bAIsect helps builders investigate and address technical problems with websites and applications, including applications built with AI tools. During early access, we provide information, a waitlist, manual review of builder requests and invitation-only engineer onboarding. Paid work is agreed separately. We do not currently provide a public marketplace, escrow service or subscription under these Terms.
Joining the waitlist or submitting a request does not require us to accept work, appoint an engineer or launch a future product. Illustrations, sample reports and proposed features are examples, not assessments of your project or promises of availability.
You accept these Terms when you expressly agree to them on a form or accept an Order that incorporates them. Visiting the website alone does not create a paid engagement. Our Privacy Notice explains our data practices; accepting these Terms is not blanket consent to the processing described in that notice.
You must be at least 18 and legally able to enter the relevant agreement. If you act for a business, you confirm that you have authority to bind it. You must not misrepresent your identity or authority.
3. Submitting a request
Provide accurate information and only material you are entitled to share. Do not submit passwords, API keys, access tokens, private keys, session cookies, environment files, full payment-card details, sensitive personal information or customer records through our forms. Use redacted examples wherever possible. We may ask you to remove unnecessary information or use an agreed secure channel.
We review requests manually and may ask questions or decline a request. A submission does not authorise access to a system or begin paid work.
You retain ownership of material you provide. You give us a non-exclusive permission to access, copy and use it, and share it with authorised personnel, only as reasonably necessary to assess or perform your request and meet related legal obligations. This permission does not allow us to publish your material, use your name in advertising or train a general-purpose AI model on it.
4. Agreeing an engagement
An engagement becomes binding when we and you accept the same Order in writing. Before acceptance, the Order must identify the work, price or calculation method, currency, applicable taxes, payment schedule and any delivery commitments. It must distinguish a paid investigation from a commitment to deliver a particular fix. Access requirements, dependencies and acceptance criteria must be stated where relevant.
We will not charge for additional work without your written approval. Estimates are not fixed deadlines unless the Order makes them binding. We will explain material scope or timing changes and seek agreement before proceeding on a changed basis.
An expressly agreed Order provision takes priority over a conflicting provision of these Terms. A data processing agreement takes priority for the processing it covers, and mandatory legal requirements take priority over every agreement. Support or maintenance after delivery is included only if the Order says so.
5. Fees, taxes and payment
Pay the fees at the times and in the currency stated in the Order. We accept PayPal and any other payment method expressly offered for your Order. Stripe card payments are available only when offered at payment. Payment providers may apply their own terms to their services.
The Order will state any applicable VAT or other transaction tax. Consumer prices and payment requests will show the total payable, including mandatory taxes and charges, before acceptance. We do not charge VAT unless legally entitled to do so. You are not responsible for taxes on our income. Your bank or payment provider may charge currency-conversion or other fees that are not charged by us.
These Terms do not authorise recurring charges or automatic renewal. Tell us promptly about a disputed charge; doing so does not restrict any statutory remedy or payment-provider dispute right. We will not charge twice for the same refunded amount.
6. Our performance and refunds
We will perform agreed work with reasonable skill and care. Technical investigations depend on the information and access available. Paying for an investigation does not guarantee that a fix will be possible. Any promised deliverable or outcome must be identified in the Order.
If our work materially fails to meet the Order or the standard of reasonable skill and care, tell us what is wrong and allow a reasonable opportunity to correct it, unless the law gives you an immediate remedy. If we cannot or decline to correct the affected work within a reasonable time, we will refund the fees attributable to the work not properly provided. We will also refund prepaid fees for work we cancel without delivering.
On cancellation, you owe only the properly performed work and reasonable, non-recoverable third-party costs that you approved in advance, subject to section 7 and your rights concerning defective work. Where there is no agreed milestone price, the charge must be a reasonable proportion of the agreed fee. There is no automatic cancellation penalty or charge for unperformed future work.
We will issue any refund due without undue delay and normally within 14 days after cancellation or our confirmation that the affected work cannot be provided, using the original payment method unless otherwise agreed. A shorter legal deadline takes priority. These provisions do not reduce mandatory rights to repair, repeat performance, a price reduction, cancellation or a refund.
7. Consumer cancellation
A Consumer may cancel an Order within 14 days after it is agreed, or within any longer period required by applicable law. Send a clear cancellation statement to connect@baisect.com. Include your name, the Order reference or description, and the date of the Order so we can identify it. No special form is required.
We will start during this cancellation period only at your express request. Where the law permits, if you then cancel before completion, you must pay a proportionate amount for services properly provided before cancellation. Your cancellation right ends on full performance only where you expressly requested early performance and acknowledged that completion would end that right. Without the legally required request, acknowledgement or information, we will not rely on that exception or charge you an amount the law prohibits.
Cancellation is separate from your rights concerning defective or misdescribed services. Nothing requires you to waive those rights.
8. Access to code, systems and personal data
You must have authority to grant the access and instructions needed for the work. Provide access that is limited, temporary and revocable, preferably through separate user accounts. Keep suitable backups and tell us about production systems, regulated data and material operational risks before work begins. We will use the access only for the agreed work and will not make production changes without the authorisation recorded in the Order or subsequently given in writing.
We will restrict access to authorised personnel and use reasonable security measures appropriate to the work. Your backup and testing responsibilities do not excuse our failure to exercise reasonable skill and care.
Before we or an engineer process personal data on your behalf, we must agree written data processing terms covering instructions, security, confidentiality, authorised subprocessors, transfers, incident assistance and return or deletion. These website Terms alone are not a substitute for that agreement. Unless it has been put in place, provide redacted or synthetic data and do not grant access to personal-data environments.
We will not place your confidential code or personal data into an external AI service unless that use has been agreed in writing and the necessary confidentiality, data protection and transfer arrangements are in place. Review and test delivered changes before production use unless the Order assigns those responsibilities to us. At completion, we will stop using the access and cooperate with revocation; you should remove our permissions promptly.
9. Engineers
We may perform work ourselves or use engineers engaged by us. We remain responsible to you for performing our obligations under the Order; using an engineer does not turn the engagement into a contract solely between you and that engineer. Engineers must be subject to appropriate written confidentiality, security and intellectual-property obligations before receiving access.
Submitting an engineer onboarding form does not itself create employment or a services contract, guarantee work, or confer a public verification or endorsement. Information and work samples must be accurate and yours to share. Any working relationship requires a separate written agreement, and its legal classification depends on the actual arrangement and applicable law.
10. Intellectual property
You retain rights in your existing code, content and data. On full payment for the relevant deliverables, we assign to you the transferable intellectual-property rights we own in the bespoke deliverables specifically identified in the Order. This includes the rights to use, reproduce, modify, distribute and make those deliverables available worldwide for the full duration of those rights, for the purposes contemplated by the Order. We will execute reasonable further documents needed to give effect to that transfer.
We retain our pre-existing materials, reusable tools, methods and general know-how. Where our retained materials are incorporated into a paid deliverable, we grant you a perpetual, worldwide, non-exclusive, fully paid licence to use, reproduce, modify, distribute and sublicense those materials as part of, or as necessary to use, that deliverable. The licence may be transferred with the deliverable. It does not permit you to sell our tools separately as a competing standalone product.
Third-party and open-source materials remain subject to their own licences. We will identify material licence requirements affecting your use and will not knowingly introduce a licence requiring disclosure of your proprietary source code without your approval. We do not purport to transfer rights belonging to others or waive rights that cannot lawfully be waived.
Our website, branding and content belong to us or our licensors. You may view and use the website for its intended purpose, but may not commercially reuse our branding or content without permission, except where the law allows it.
11. Confidentiality
Each party will protect the other’s non-public business, technical and financial information with reasonable care, use it only for the engagement or related legal obligations, and disclose it only to people who need it and are bound by appropriate confidentiality duties. This does not cover information the recipient can show was already lawfully known, becomes public without a breach, is independently developed or is lawfully received without a duty of confidence.
A party may make a disclosure required by law, limiting it where practicable and notifying the other party beforehand where lawful. General skills and non-confidential know-how may be reused, but this does not permit reuse or disclosure of source code, personal data, trade secrets or information from which the other party or its project can reasonably be identified. Confidentiality continues for as long as the information remains confidential.
12. Acceptable use and third-party services
Do not use the Service for unlawful activity, infringement, deception, unauthorised system access, harmful code, interference with the Service or misuse of another person’s information. Do not bypass security or access restrictions. Good-faith security reports are welcome at connect@baisect.com; reporting a concern does not authorise intrusive testing.
You are responsible for licences and permissions for platforms and materials you ask us to use. We are not responsible for an independent service you choose, or an outage or change outside our reasonable control, except to the extent caused by our breach. Nothing in this section removes our responsibility for the obligations we subcontract or our duties concerning service providers we appoint.
13. Website information and service limits
Free website information and demonstrations are provided as available. We do not promise uninterrupted access or that every example will suit your circumstances. Unless expressly included in an Order, our work is not a security certification, regulatory opinion or guarantee that your entire product is error-free or fit for every purpose.
These limitations do not override an express commitment in an Order, our obligation to use reasonable skill and care, or any warranty or remedy that cannot lawfully be excluded.
14. Liability
Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury where liability cannot lawfully be limited, harmful acts to the extent the law prohibits exclusion or limitation, or any other liability or remedy that applicable law does not permit the parties to exclude or limit. Our refund obligations are not reduced by the financial caps below. These Terms do not bind regulators or remove the rights of individuals under data protection law.
For customers who are not Consumers, and subject to the preceding paragraph, our aggregate liability arising from an engagement is limited to the total fees paid or payable under the relevant Order. For claims arising from our breach of confidentiality or personal-data protection obligations, the cap is twice those fees. The higher cap replaces, and does not add to, the ordinary cap; our total liability for all claims under that Order cannot exceed that higher cap where it applies. For claims unrelated to a paid engagement, our aggregate liability is limited to AED 1,000.
For those non-Consumer customers, we are not liable for indirect or consequential loss or for lost profits, revenue, business opportunities or anticipated savings, to the extent the law permits their exclusion. Reasonable direct costs of restoring data or systems damaged by our breach are not excluded merely because they relate to data, but remain subject to the applicable cap.
The financial caps and business-loss exclusions above do not apply to Consumers. A Consumer may recover losses and obtain remedies available under applicable law. Neither party may recover twice for the same loss, and each must take reasonable steps to avoid or reduce preventable loss.
15. Third-party claims arising from customer material
For customers who are not Consumers, you will reimburse our reasonable defence costs and amounts finally awarded by a court or agreed in a settlement you approve for a third-party claim that material you supplied infringes that party’s rights, or that instructions you gave us were unauthorised or unlawful. This does not apply to the extent the claim results from our breach, unauthorised modification or use outside your instructions.
We must notify you promptly, allow you reasonable control of the defence with competent advisers, and provide reasonable cooperation at your expense. You may not admit liability for us or impose a non-monetary obligation on us without our consent, which will not be unreasonably withheld. Your aggregate liability under this section is limited to twice the fees paid or payable under the affected Order, except for your fraud, intentional misconduct or liability that cannot lawfully be limited. This section does not apply to Consumers.
16. Suspension and ending an engagement
Either party may end an engagement by email. We will stop work as soon as reasonably practicable, avoid unnecessary additional costs, account for properly completed work and return any unearned prepayment under section 6. We will provide the paid-for completed deliverables and a reasonable status handover, subject to applicable confidentiality and security requirements.
We may immediately suspend access or work where reasonably necessary to address a serious security risk, unlawful activity or a material threat to others. For another material breach, including non-payment, we will normally give written notice and at least seven days to remedy it where practicable before terminating for that breach.
Ending an engagement does not remove accrued rights. Payment for work properly provided, intellectual property, confidentiality, data return or deletion, liability and dispute provisions continue to the extent needed to give them effect.
17. Events outside reasonable control
To the extent permitted by law, neither party is responsible for delay caused by an event outside its reasonable control that it could not reasonably prevent or overcome. The affected party must notify the other, minimise the effects and resume performance when practicable. This does not excuse payment already due, remove mandatory rights or automatically excuse security failures. If the interruption lasts more than 30 days, either party may cancel the affected work, with payment and refunds handled under section 6.
18. Changes and general provisions
We may update these Terms for future use of the Service. The updated date identifies the version. An existing Order remains governed by the version accepted with it unless both parties agree otherwise. We will give reasonable notice of material changes affecting an ongoing relationship and obtain fresh agreement where required; a change is not retroactively imposed through continued browsing.
These Terms, the Order and any applicable data processing agreement form the agreement for the engagement. No purchase-order terms apply unless we expressly accept them. Nothing limits liability for fraud or overrides information or commitments that the law makes binding.
If a provision is unenforceable, the remainder continues so far as legally possible. Not immediately enforcing a right does not waive it. Neither party may transfer an Order in a way that materially prejudices the other without consent. We may transfer it with a genuine business reorganisation or sale, on notice, if the successor assumes our obligations and mandatory rights are preserved.
Operational and contractual notices may be sent by email to the address used for the engagement, or to connect@baisect.com for us. This does not replace formal service required for legal proceedings. Nothing creates a partnership or gives either party authority to bind the other beyond the agreed engagement.
19. Complaints, governing law and courts
Send complaints to connect@baisect.com with the relevant Order details and the outcome you seek. We will try to resolve the issue in good faith within 14 days. This process does not prevent urgent court relief, a regulatory complaint or action needed to preserve a legal deadline.
These Terms and Orders are governed by UAE federal law as applied in the Emirate of Sharjah, together with applicable Sharjah law. Subject to mandatory jurisdiction rules, the competent courts of Sharjah have exclusive jurisdiction over disputes with customers who are not Consumers.
A Consumer retains any mandatory protection and right to bring proceedings in a court available under the law of their habitual residence. Nothing in these Terms requires a Consumer to use arbitration or prevents a complaint to a competent authority.
